These terms govern your use of the ABECODS website and the e-commerce performance services we provide to Shopify and WooCommerce brands across the GCC. Please read them carefully.
Summary. By using this website or engaging ABECODS, you agree to these terms. They set out what we deliver, how engagements are scoped and paid, who owns the work, and the limits of our responsibility. This is a plain-language framework. The signed proposal or statement of work for your specific engagement takes precedence where the two differ.
Agreement to terms
These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("you", "the Client") and ABECODS ("ABECODS", "we", "us", or "our"), a digital agency based in Doha, Qatar. They apply to your access to and use of www.abecods.com (the "Website") and to any services you engage us to perform.
By accessing the Website, submitting an enquiry, or entering into an engagement with us, you confirm that you have read, understood, and agree to be bound by these Terms. If you are agreeing on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree, you must not use the Website or our services.
Definitions
In these Terms, the following words have the meanings set out below:

Our services
ABECODS provides e-commerce performance services for Shopify and WooCommerce businesses, including diagnostic assessments, conversion and storefront optimisation, tracking and analytics setup, development and automation, and related growth and advisory work.
The specific Services for your engagement are defined in the applicable Proposal or Statement of Work. Nothing on the Website constitutes an offer, guarantee of results, or commitment to perform work until a Proposal is agreed in writing by both parties.
We reserve the right to decline any engagement where, in our reasonable judgement, the fit is not right, for example where we cannot obtain the access required to deliver the Services responsibly, or where the requested work falls outside our methodology.
Engagement & scope
Each engagement begins with an agreed Proposal that defines the scope, deliverables, timeline, and fees. Work is performed against that scope.
- Scope changes. Requests that materially expand the agreed scope may require a revised timeline and fee, documented as a change to the Proposal before the additional work begins.
- Timelines. Estimated timelines assume timely provision of Client Materials, access, and approvals. Delays in these may extend delivery dates without penalty to us.
- Dependencies. Where a deliverable depends on a third party or Platform, we are not responsible for delays or failures caused by that party or Platform.
Fees & payment
Fees are set out in the applicable Proposal and are quoted in Qatari Riyal (QAR) unless stated otherwise. Unless agreed otherwise in writing:
- Project-based engagements are invoiced in the instalments stated in the Proposal, which may include a deposit payable before work begins.
- Retainer engagements are invoiced in advance of each service period and are subject to any minimum commitment stated in the Proposal.
- Invoices are payable within the period stated on the invoice. We may suspend Services on overdue accounts after reasonable notice.
- Fees are exclusive of any third-party costs (such as advertising spend, software subscriptions, or platform fees), which are your responsibility unless expressly included in scope.
- Except where required by law, fees paid are non-refundable once the corresponding work has commenced.
Client responsibilities
To enable us to deliver the Services, you agree to:
- Provide accurate, complete Client Materials and the access we reasonably require (for example, to your store, analytics, and advertising accounts).
- Ensure you hold all rights, licences, and consents necessary for us to use the Client Materials in performing the Services.
- Respond to requests for information, feedback, and approvals within a reasonable time.
- Maintain your own backups and comply with the terms of any Platform you use.
- Comply with all applicable laws, including consumer protection, advertising, and data protection laws relevant to your business.
Intellectual property
Deliverables. Upon full payment of the fees due for an engagement, you receive ownership of, or a licence to use, the Deliverables produced specifically for you, as set out in the Proposal.
Pre-existing and proprietary materials. We retain all rights in our methodologies, frameworks, templates, tools, and any pre-existing materials used to produce the Deliverables. Where these are embedded in a Deliverable, we grant you a non-exclusive, perpetual licence to use them as part of that Deliverable.
Website content. All content on the Website, including text, graphics, logos, and design, is owned by ABECODS or its licensors and is protected by intellectual property laws. You may not reproduce or reuse it without our prior written consent.
Portfolio. Unless you request otherwise in writing, we may reference the fact that we worked with you and describe the results, in anonymised or named form, in our portfolio and marketing.
Confidentiality
Each party may receive confidential information belonging to the other. Both parties agree to keep such information confidential, to use it only for the purpose of the engagement, and to protect it with reasonable care. This obligation does not apply to information that is public through no fault of the receiving party, was already known, is independently developed, or must be disclosed by law.
Third-party platforms
Delivering the Services often involves third-party Platforms such as Shopify, WooCommerce, Meta, Google, and analytics providers. Your use of those Platforms is governed by their own terms, and we are not responsible for their availability, changes, pricing, or actions. Where a Platform changes or discontinues functionality that a Deliverable relies on, additional work to adapt may fall outside the original scope.
Warranties & disclaimers
We warrant that the Services will be performed with reasonable skill and care by qualified personnel. Beyond this, and to the fullest extent permitted by law:
- The Website and any general content are provided "as is" without warranties of any kind.
- We do not guarantee specific commercial outcomes. Any figures, benchmarks, or case-study results describe past engagements and are not a promise of future performance, which depends on many factors outside our control.
- We do not warrant that the Website will be uninterrupted, error-free, or free of harmful components.
Limitation of liability
To the fullest extent permitted by law, ABECODS shall not be liable for any indirect, incidental, special, or consequential loss, or for loss of profit, revenue, data, or business, arising out of or in connection with the Services or the Website.
Our total aggregate liability arising out of or in connection with an engagement shall not exceed the total fees paid by you to us for that engagement in the three (3) months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
Term & termination
An engagement continues until the Services are complete or until terminated in accordance with the Proposal or these Terms. Either party may terminate for material breach that is not remedied within a reasonable period after written notice.
On termination, you agree to pay for all Services performed and costs committed up to the termination date. Provisions relating to intellectual property, confidentiality, payment, and liability survive termination.
Governing law & jurisdiction
These Terms and any dispute arising out of or in connection with them are governed by the laws of the State of Qatar. The parties agree to attempt to resolve any dispute amicably in good faith. Where a dispute cannot be resolved, it shall be subject to the exclusive jurisdiction of the competent courts of Qatar.
Changes to these terms
We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. The current version is always published on this page with its effective date. Material changes affecting an active engagement will be communicated to you directly. Your continued use of the Website after changes are posted constitutes acceptance of the revised Terms.
